Question - Certificate of Incorporation

Hi all,

My company is formed as a limited partnership with 80 employees.

My corporate controller told me, since we are a limited partnership, we don't have a certificate of incorporation. But, we have a "Certificate of Limited Partnership". Are those two certificates the same? Or, every firm should have a certificate of incorporation?

Please Please Please advise.

I am not an expert but here are my 2 cents:

Depending on the constitution of the company it may have either a "Certificate of Incorporation" or "Certificate of Limited Membership". In your case since you work for a company that was formed as a limited partnership they would have ""Certificate of Limited Membership".

If you are still in doubt call/email the PNP office and seek their clarification.
