1.5 Leave Travel Assistance (LTA): Employees may claim LTA after completion of 11 months of

1.6 Transport Allowance: Conveyance Allowance is paid to help employees meet the cost of
commuting between home and office. The amount is determined based on the company’s Conveyance
Allowance Policy which is available with HR, and is taxable as per income tax law.
1.7 Performance-based Pay: Most of the company believes that compensation should be linked to
performance, and the Performance-based Pay component is one way in which the company seeks to do
this. Through Performance-based Pay, employees are rewarded on achievement of predefined goals and
objectives, which may be on an individual, team or corporate level, or a combination of these. In
administering the company’s various Performance-based Pay initiatives, transparency and fairness are the
guiding principles.
Performance-based Pay is taxable.
1.8 Other Allowance: At times, due to special circumstances, a fixed monthly allowance may be added
to an employee’s salary. Generally, it will be withdrawn once such circumstances cease to exist, unless
management chooses to withdraw it sooner, at its discretion. As such, Other Allowance is temporary in
nature and not a fixed increase, and will not be considered a part of salary when calculating increments.
Other Allowance is taxable.
1.9 Incentive Policies: The Company has various incentive policies in effect from time to time. Many

Further to our discussions, we have pleasure in giving you this Contract letter, setting out
the details of your employment with our company. You are being appointed to the
position of Chemical Engineer -Intern. This Offer takes effect from your date of joining

You will abide by the rules and regulations of the Company as may be in force from time
to time. All matters pertaining to your Offer and salary/compensation are strictly

1. Placement & Compensation

2. Salary revision

2K1)”. However, your services are liable to be transferred, at the sole discretion of

new placement location.
Probation:
You will be on probation for a period of three months. The period of probation can

probation, the period of notice required for resignation is 24 hours on either side.
Further, unless otherwise communicated to you in writing, your services shall stand

5. Full time employment

yourself exclusively to the business and interests of the company. You will not take
up any other work for remuneration (part time or otherwise) or work in an advisory
capacity, or be interested directly or indirectly (except as shareholder / debenture
holder), in any other trade or business during your employment with the company,
without permission in writing of the Board of Directors of the Company. You will
also not seek membership of any local or public bodies without first obtaining
specific permission from the Management.
6. Confidentiality
You will not, at any time, during the employment or after, without the consent of the
Board of Directors disclose or divulge or make public, except on legal obligations,
any information regarding the Company’s affairs or administration or research carried
out, whether the same is confided to you or becomes known to you in the course of
your service or otherwise.
7. Intellectual Property
If you conceive any new or advanced method of improving designs/ processes/
formulae/ systems, etc. in relation to the business/ operations of the Company, such
developments will be fully communicated to the company and will be, and remain,
the sole right/ property of the Company.
8. Responsibilities & Duties
Your work in the organization will be subject to the rules and regulations of the
organization as laid down in relation to conduct, discipline and other matters. You
will always be alive to responsibilities and duties attached to your office and conduct
yourself accordingly. You must effectively perform to ensure results.
9. Past Records
This Contract letter is based on the information furnished in your application for
employment and during the interviews you had with us. If any declaration given, or
information furnished by you, to the company proves to be false, or if you are found.
to have willfully suppressed any material information, in such cases, you will be
liable to removal from services without any notice.
10. Retirement
The retirement age is 65 years. You will retire from the employment of the Company
at the end of the month in which you attain 65 years of age.
11. Termination of employment
During the probationary period and any extension thereof, your services may be
terminated without giving any notice or salary in lieu thereof. However, on
confirmation the services can be terminated from either side by giving one month (30
days) notice or salary in lieu thereof. Only handwritten resignation will be accepted,
resignation through E-MAIL, SMS or other electronic mode will not be accepted.
Upon resignation/termination of employment, you will immediately hand over to the
Company all correspondence, specifications, formulae, books, documents, market
data, cost data, drawings, affects or records belonging to the Company or relating to
its business and shall not retain or make copies of these items.
Upon resignation/termination of employment, you will also return all company
property, which may be in your possession.
Notwithstanding the above condition, the contract of service may also be
terminated because of under mentioned stipulations. This will be without payment of
any compensation.

✓ For loss of confidence in you by the company for any of the act committed by

✓ If you are found to be guilty of fraud, insubordination or misconduct whether in

12. Checks & Clearance
Your Offer is subject to satisfactory reference checks and clearance from any secrecy
/ service agreements that you may have executed, which could have a bearing on your
working with us.
You are required to sign and submit a copy of this Contract letter as a token of your
acceptance of our terms and conditions, along with the following documents within 7.
days from the date of this letter, failing which this Contract letter will be treated as
withdrawn.

Employment Contract
This contract, dated on the 29th day of November in the year 2019, is made between Atlantic

Post Jirauli Dhoom Singh, Tehsil Atrauli, Ganeshpur Govindpur, Aligarh, Uttar Pradesh -
202201, India. This document constitutes an employment agreement between these two parties
and is governed by the laws of Ontario.
WHERE AS the Employer desires to employ the services of the Employee, and the Employee
desires to render such services, these terms and conditions are set forth.
IN CONSIDERATION of this mutual understanding, the parties agree to the following terms
and conditions:
1. Employment
The Employee agrees that he or she will faithfully and to the best of their ability carry out the
duties and responsibilities communicated to them by the Employer. The Employee shall comply
with all company policies, rules and procedures at all times.
2. Position
As a Chemical Engineer -Intern, it is the duty of the Employee to perform all essential job
functions and duties. From time to time, the Employer may also add other duties within the
reasonable scope of the Employee’s work.
3. Compensation
As compensation for the services provided, the Employee shall be paid a monthly salary of
$2,352.00CAD and will be subject to an annual performance review. All payments shall be
subject to tax free.
4. Benefits
The Employee has the right to participate in any benefits plans offered by the Employer. The

vacations, free meals, use of a company car, pensions, stock options, childcare, gratuity, company

6. Paid Time Off
Following the probationary period, the Employee shall be eligible for the following paid time
off:

another Employer that is related to or in competition with the Company. You will fully disclose
to your Employer any other Employment relationships that you have and you will be permitted
to seek other employment provided that (a.) it does not detract from your ability to fulfill your
duties, and (b.) you are not assisting another organization in competing with the employer.
It is further acknowledged that upon termination of your employment, you will not solicit
business from any of the Employer’s clients for a period of at least six months.
9. Entirety
This contract represents the entire agreement between the two parties and supersedes any
previous written or oral agreement. This agreement may be modified at any time, provided the
written consent of both the Employer and the Employee.
10. Legal Authorization
The Employee agrees that he or she is fully authorized to work in Manitoba, Canada and can
provide proof of this with legal documentation. This documentation will be obtained by the
Employer for legal records.
11. Severability
The parties agree that if any portion of this contract is found to be void or unenforceable, it shall
be struck from the record and the remaining provisions will retain their full force and effect.
12. Jurisdiction
This contract shall be governed, interpreted, and construed in accordance with the laws of the
State of Ontario.
13.1. Expenses Incurred before Travel:
It is our official policy that our employees must pay for their Visa and work permit processing
fees, as we promise free tickets for you and your family (if any is accompanying you) as a proof
of your readiness to joining our team.
On no account will Employer accept to shoulder costs for Travel Expenses, Processing of Visa,
and Work/Resident Permit Papers of Employee before Work sign-on. This is to evade losses.
That
may be accrued to us should you decide to decline the Job offer after using us to obtain
your visa due to our similar past experiences.
Expenses made/incurred by the employee related to job before commencement of duties or
Expenses made during Travel Plans, Processing of Travel Particulars ETC will be substantiated
with receipts and Employer will reimburse the Employee not later than five (5) work days after
submission of employee's expense report and receipts as proofs of such Expenses. Employer
however agrees to reimburse fully all Travel costs and Expenses made by Employee.
This agreement hereby binds employer and employee that re-reimbursements will be made
fully to Employee upon presentation of expense reports and receipts of expenses. It is our
official policy that our foreign employees must pay for their work permit processing fees, as we
have promised free air-ticket to all employees and as a proof of your readiness to join our team.
13.2. Upfront Payment of Salary:
One month salary shall be paid to you in advance before you depart your country to assume
duty with us. This is to enable the employees settle all domestic needs before traveling down
here. As such no excuses will be entertained on assumption of duty relating to default(s).
Employees (Expatriates) are to note that 1-month upfront salary will be paid as soon as you
procure and obtain the relevant Resident/Work Permit documents from our High Commission
of Canada in your country and submit it to the Human Resources Department for Verification.
All payment of Salary after assumption of duty in Manitoba, Canada shall be 75% paid into an
offshore account to be provided by employee with the remaining 25% paid here in Canada, if
accepted by the employee for local expenses.
In witness and agreement whereof, the Employer has executed this contract with due process
through the authorization of official company agents and with the consent of the Employee,
given here in writing.

PLACE OF WORK: The Employee (you) shall be based for the time being at Canada.



COMMENCEMENT OF EMPLOYMENT



Your employment shall commence on 9th of May 2020.Your employment is contingent on the results of a back ground check which may include reference checks, verification of education and work history. If the results of your background check reveal information that is inconsistent with our standards, this offer may be rescinded or your employment with the company may be subject to immediate termination and deportation back to your country, at the discretion of the company.



ACCIDENTAL INSURANCE:

The company currently provides personal accident insurance for regular employees up to a maximum cover of 87,400 CAD, payable in accordance with the provisions of the policy less any legally required benefits. The company may terminate or change the scheme at any time at its discretion.



PRIVATE HEALTH SCHEME:

The company operates a private health scheme for all regular employees, which provides medical expense cover for yourself and your immediate family (I. e. Spouse & children) to check the health scheme at any time at its discretion.



MANDATORY PROVIDENT FUND SCHEME:

In accordance with Canada legislation, the company is registered with the Mandatory Provident Fund scheme administered by the Government of Canada to which you and the company are legally liable to contribute an equal percentage of 28% of your basic salary.

Consequently, you must not, whether during or after your employer, except as required by law or as authorized or required by your duties as an employee of the company, disclose or divulge(whether deliberately or through lack of care or diligence) to any person, firm, company or organization or otherwise make use of any of the trade secret, proprietary information, secret or any information (other than within the public domain) concerning the organization business, finances, transaction or affairs of the company, the members of Casio Oil And Gas Company or the client of the company or such members confidential information includes, but are not limited, to the follow categories: Information concerning the business affair, finance, proper listings or trade connections of the company ,order members of Casio Oil And Gas Company and their Directors and clients. You will face instant dismissal should you in any way fail to comply with any of the provisions contained in these conditions. Further, any document notes, memoranda, writing materials, records, other stored information of any kind or tangible items of any nature acquired by you in the course of your employment shall remain the property of the company. You must not remove any property belonging to the company from the company premises at any time without prior written consent from the company. You must return to the company upon request and in any event upon termination of your employment with the company howsoever arising, all documents and tangible items which belong to the company or which contain or refer to any confidential information which is in your possession or under your control. You must, if



Requested by the company to delete all the confidential information from any reusable material and /or refer to any confidential information which is in your possession or under your control.



RESTRICTIVE COVENANTS / ACTIVITIES DURING YOUR EMPLOYMENT:

You shall carry out such duties in the capacity of your duty, including such duties as the company may from time to time direct. You shall, during the Employment Period, perform and discharge faithfully and to the best of your ability, the duties and obligations, which may be assigned to you from time to time by the company. You shall devote the whole of your time, attention and skill to the duties and exercise such powers consistent with your office as company Employee. You shall obey all reasonable and lawful directions given you by your Department Head and /or the Management of the Company. You will not during your employment, except with written consent of the company, be directly or indirectly engaged, concerned or interested in any other trade, business or occupation whatsoever. You expressly undertake and agree that in the consideration of your employment with the company, and the salary and other compensation that you will receive during the Employment Period, you will comply and do all things necessary to permit the company to comply with the laws and regulations of all governments under which the company does business and with the provisions of contracts between the company and any private contractors, the relate to intellectual property or to the safeguarding of information, including the signing of any confidentiality agreements required in connection with the performance of your duties during the Employment period of your employment.



NOTICE OF TERMINATATION:



Your employment may be terminated by either party giving to the other party one month notice in writing during the probation as well after confirmation in accordance with the Section of this agreement titled "Miscellaneous" below. Also, either party reserve the right to terminate the employment by paying the other salary in lieu of any period of notice. Nothing in these terms and conditions of employment shall prevent the Company from terminating your employment without notice or wages in lieu of notice in the circumstances specified in the Section of this Agreement titled "Dismissal" below. If notice to termination has been given by either party and provided that you continues to receive your benefit and entitlement pursuant to this Agreement the company has absolute discretion from the date of the termination notice until the termination Date to exclude you from the premises of the Company and/or to require you to carry out specific duties for the Company other than those which you had until you carried out and /or to instruct you not to communicate with clients, employees, agent or representatives of the company .

DISMISSAL:

Notwithstanding the provisions in the Section of this Agreement titles "Notice of Termination" above, the Company reserves the right to dismiss you with immediate effect without prior notice or payment in lieu of notice by giving notice to you in writing for any of the following courses at any time:

* If you guilty of negligence or incompetence in the performance of your duties, bankruptcy, misconduct or any act or omission which in the opinion of the company is likely to bring the Company or any of its officers or employees into disrepute or if you are guilty of any criminal offense (other than an offense under road traffic legislation for which a penalty other than



imprisonment in imposed),or if you are guilty of taking drugs prohibited by law or you consume alcohol to a level which in the opinion of the Company adversely affects your ability to perform your duties properly or affects your standing and reputation in the community in which you work: and /or

*If you commit any serious or persistent breach of any terms or conditions in this letter where the breach is capable of being rectified but it not rectified by you within 15 days of being requested by the Company to do so; and /or

*If you commit any act or dishonestly whether relating to the Company, Casio Oil And Gas Company other employees or otherwise and/or

* On any other ground on which the Company is so entitled to dismiss any employee summarily under Canada Law.



RULES, PROCESURES POLICIES & BENEFITS:

The Company has established rules, procedures and policies which from time to time are subject to amendment and additions/ alterations. As an employee, you are under an obligation to comply with all the rules additional /alterations and amendments to them. Such rules, procedure, policies and benefit are available for inspection at the Human Resources Department during office hours. The Company will endeavor to provide you with information on these items, but it's your obligation to inquire on a regular basis as to their status.





GRIEVANCES:

If you have any grievance relating to your employment, you should raise it either orally or in writing to your Department Head, or in the event of the matter not been settled at this level, with the Managing Director through HR Department.



ENTIRETY OF TERMS AND CONDITIONS:

This Agreement and the provisions in the Company policy expressly incorporated herein contains the entire agreement between the parties and supersedes all agreements and arrangements written or oral, relating to your employment by the Company or the any other member of the Casio Oil And Gas Company (which shall be deemed to have been terminated by mutual consent). In the event of any discrepancy between this agreement and the provisions in the Company Policy, this Agreement shall prevail. Any notice required to be given hereunder shall be in writing and shall be deemed to be duly served in the case of notice to the Company immediately if handed personally to your Department Head or upon the expiration of 24 hours is sent to its address and in the case of notice to you if handed to you personally or upon the expiration of 24 hours if left at or sent by registered post and addressed to your last known address.



ALTERATION TO THE TERMS OF EMPLOYMENT: Any alterations in the regulations Employment affecting Employee (you) will be notified by a letter or memorandum, but any general alteration will be communicated in a circular to the Employees (you).



GOVERNING LAW AND JURISDICTION:

The terms and conditions of this agreement shall be constructed and interpreted in accordance with the Canadian Laws and the parties shall submit to the non-exclusive jurisdiction of the



Canada Courts located in Manitoba in the event of any dispute arising out of and /or in connection with your employment.

PREMISES: -

REGULATIONS AND CONDITIONS OF EMPLOYMENT AS SET OUT HERE IN WILL BE DEEMED TO CONSTITUTE A “CONTRACT OF EMPLOYMENT” IN FULFILLMENT OF CURRENT EMPLOYMENT LEGISLATION. EMPLOYEE (YOU) IS REQUIRED TO SIGN AT THE SPACE PROVIDED AT THE END OF THESE CONDITIONS, AGREEING TO ADHERE TO THE EMPLOYER’S CONDITONS OF EMPLOYMENT.
